1. Introduction
These Terms & Conditions govern the relationship between shreeshoppe.com and the Business partner who wishes to promote and sell products from shreeshoppe.com. By joining the Business partner program, the Business partner agrees to these terms.
2. Eligibility
To become an Business partner, you must:
- Be at least 18 years of age.
- Have a valid and active website, blog, or social media account.
- Complete the application process and be approved by the Company.
3. Enrollment
- The Company will review the application and notify the Business partner of acceptance or rejection.
- The Company reserves the right to reject any application without providing a reason.
- Document Submission: Business partners must submit or upload their PAN Card, Aadhar Card, and GST details (if applicable) at the time of signup.
4. Business partner Responsibilities
- Promote the Website and products in a positive and ethical manner.
- Ensure that all promotional activities comply with all applicable laws and regulations.
- Use only the approved marketing materials provided by the Company.
- Not engage in any misleading or deceptive marketing practices.
5. Commission Structure
- Business partners will earn a percentage of profits on sales generated through their unique partner links or by directly registering the customer on our website.
- The commission rate will be specified by the company according to the variety of products.
- Commissions will not be paid on returns, refunds, or chargebacks.
6. Payment Terms
- Commissions will be calculated and paid on a monthly basis.
- Payments will be made via bank transfer only. The business partner must has to upload cancel check for the verification of commission payout.
- Commission Payment Condition: Commissions will only be given once the Company receives the payment from the customer and 15 days have passed without any returns.
- Tax Deductions: TDS or any other applicable tax will be deducted before paying commissions to the Affiliate.
7. Cookie Duration
- The affiliate tracking cookie duration is for 30 days. Sales made after this period will not be eligible for commission.
8. Prohibited Activities
- Business partner may not:
- Bid on keywords containing the Company’s trademarked terms.
- Use spam or unsolicited emails to promote products.
- Engage in any form of cookie stuffing or other fraudulent activities.
9. Return Policy
- The Company’s return policy states that customers will be issued a credit voucher instead of a refund for returned products. The Business partner’s commissions will be adjusted accordingly if a sale that generated a commission is later returned.
10. Termination
- Either party may terminate this agreement at any time, with or without cause, by providing written notice.
- Upon termination, the Business partner must cease all promotional activities and remove all links to the Website.
- The Company reserves the right to withhold any final commission payments if the Business partner is found in violation of these terms.
11. Intellectual Property
- The Company grants the Business partner a non-exclusive, non-transferable license to use the Company’s logos, trademarks, and marketing materials for the sole purpose of promoting the Website and products.
- Business partner may not modify any of the Company’s materials without prior written consent.
12. Limitation of Liability
- The Company will not be liable for any indirect, incidental, special, or consequential damages arising in connection with this agreement or the Business partner Program.
13. Indemnification
- The Business partner agrees to indemnify and hold harmless the Company and its employees, directors, and agents from any and all claims, damages, or liabilities arising from the Business partner’s actions or omissions in connection with the affiliate program.
14. Confidentiality
- Business partner must keep all confidential information shared by the Company, including sales data and commission details, strictly confidential.
15. Modification of Terms
- The Company reserves the right to modify these terms at any time. Business partner will be notified of any changes, and continued participation in the program constitutes acceptance of the revised terms.
16. Governing Law and Jurisdiction
- This agreement shall be governed by and construed in accordance with the laws of India/Gujarat.
- The registered office of the Company is in Jamnagar, Gujarat, and any legal proceedings arising out of this agreement shall be subject to the exclusive jurisdiction of the courts in Jamnagar, Gujarat.
17. Entire Agreement
- This agreement constitutes the entire agreement between the Company and the Business partner regarding the subject matter hereof and supersedes all prior agreements and understandings.
By signing up for the Business partner program, the Business partner acknowledges that they have read, understood, and agree to be bound by these Terms & Conditions.
